Bylaws concerning the election of directors of the board

Article 1. Directors of the board will consist of directors who are elected by ballot (elected directors), directors who are selected without voting (non-elected directors), and nursing directors.

Article 2. Ten elected directors, two non-elected directors, and three nursing directors will be assigned.

Article 3. Those who want to run for the office of elected director shall submit to the board meeting at least three months before the general assembly of members each year.

Article 4. Directors will be elected from candidates who have submitted to the board of directors at the general assembly of employees.

Article 5. Elected directors shall be selected at the general meeting of employees according to the following rules:

Article 6. Non-elected directors shall be selected at the committee for the selection of non-elected directors defined in Article 7 of the bylaws in consideration of the results of voting for elected directors.

Article 7. The committee for the selection of non-elected directors shall consist of the board chairman, former president, incumbent president, president for the next term, president for two terms later, and executive director. If a person is holding two of these five positions, four people shall comprise the committee for the selection of non-elected directors.

Article 8. Three nursing directors shall be recommended by the nursing division and appointed.

Article 9. A runner-up shall fill in a vacant position of an elected director with board meeting approval. If the position of non-elected director becomes vacant, the committee for the selection of non-elected directors shall appoint a new non-elected director. One of the vice presidents of the nursing division shall fill a vacant position of nursing director.

Additional Clause: These bylaws will become effective from the date of the establishment of the Japanese Society of Intensive Care Medicine. This revision will take effect on May 16, 2006.
