Bylaws concerning election of the board chairman
Article 1. The board chairman shall be selected by and from elected directors at the board meeting.
Article 2. Elections shall be held at the board meeting according to the following rules:
- 1. The former board chairman will assign a councilor and nursing director as election administrators responsible for election procedures.
- 2. Elections shall be conducted by single and secret ballot.
- 3. No absentee voting shall be allowed.
- 4. Ballots will be considered invalid if:
(1) An official ballot paper is not used
(2) A name other than those of elected directors is written
(3) Multiple names are written
- 5. The winner will be decided as follows:
(1) A candidate who has won the highest number of valid votes will be the board chairman.
(2) If multiple candidates have obtained the largest number of valid votes, a runoff for the board chairman will be held between these candidates in the presence of election administrators. If they have obtained the same number of votes again in the runoff, the winner will be determined by drawing.
Article 3. If the board chairman is not able to complete his/her term of office for any reason, the vice chairman shall serve for the remaining term of the board chairman.
Additional Clause: These bylaws will become effective from the date of the establishment of the Japanese Society of Intensive Care Medicine.
